Rafizi mendedahkan 'bonus' Boustead kepada Raja Ropiaah...

Selain daripada pembayaran RM130 juta untuk Awan Megah Sdn Bhd, yang dimiliki oleh Ketua Wanita UMNO Selangor Raja Ropiaah Raja Abdullah, Boustead Holdings Sdn Bhd mempunyai lebih banyak lagi tawaran2 lain yang tidak didedahkan dalam penyenaraian di Bursa Malaysia,menurut pemimpin PKR itu.

"Ini adalah 'durian runtuh (bonus)' Raja Ropiaah ... Selepas membaca ini, saya ingin menjadi macam dia, "kata Pengarah Strategi Parti Keadilan, Rafizi Ramliz.

Bercakap dalam satu sidang akhbar di ibu pejabat parti di Petaling Jaya hari, Rafizi mendedahkan bahawa setelah dia dibenarkan meneliti 2 dokumen perjanjian, satu, perjanjian pembangunan tanah antara Awan Megah milik Raja Ropiaah,Bakti Wira Sdn Bhd, milik Boustead dan Astacanggih Sdn Bhd yang dimiliki oleh peniaga permaidani kontroversi Deepak; dan kedua perjanjian untuk membeli Astacanggih dari Deepak.

Rafizi menyaksikan dokumen tersebut pagi ini di ibu pejabat Boustead,Kuala Lumpur dalam kapasiti beliau sebagai pemegang saham minoriti.



Faedah tambahan yang diberikan kepada Awan Megah milik Raja Roopiah dalam perjanjian seperti yang diterangkan oleh Rafizi:

1) Suatu kontrak RM15 juta telah diberikan kepada Awan Megah oleh Kementerian Pertahanan pada bulan Jun tahun lepas walaupun Awan Megah telah gagal selama 7 tahun untuk menyiapkan pembinaan Institut Pertahanan Negara atau Puspahanas;

2) Awan Megah dibenarkan mengekalkan 23.2 ekar tanah Shah Alam yang bernilai berjuta-juta ringgit;

3) Boustead telah mendahulukan RM4 juta kepada Raja Ropiaah untuk membeli kepentingan 20 peratus dalam Astacanggih;

4) Perjanjian itu juga menyatakan bahawa Wira Bakti,subsidari Boustead berjanji untuk membayar semua hutang yang ditanggung oleh Awan Megah kepada GuppyUnip Sdn Bhd supaya GuppyUnip bersetuju untuk menamatkan perjanjian usahasama dengan Awan Megah.


Semua ini, kata Rafizi,diberikan secara bebas dan percuma kepada syarikat yang dimiliki oleh Ketua Wanita UMNO Selangor,Raja Roopiah seolah-olah satu 'durian runtuh'.

Ditanya jika dokumen nyatakan sebarang salingan nilai seperti bagi pihak Awan Megah ini, Rafizi berkata bahawa dia tidak nampak apa2 dalam dokument yang menunjukkan demikian.



Rafizi  menambah lagi bahawa tidak seperti kontrak paling standard yang melibatkan pemindahan tanah, ianya adalah agak aneh bahawa perjanjian ini tidak memerlukan Megah Awan serta Astacanggih untuk memastikan tanah lebih 200 ekar itu dipindahkan kepada Bakti Wira yang membiayai bil bagi semua pembayaran dalam perjanjian itu.


Melabelkan penemuannya sebagai berunsur "skandal" Rafizi berkata bahawa dia yakin dia boleh melakukan cabaran undang-undang untuk mengisytiharkan kontrak batal dan tidak sah kerana keadaan semasa di sekeliling perjanjian itu mungkin telah melanggar syarat-syarat yang ditetapkan dalam kontrak.

Beliau berkata beberapa perkara berkaitan dengan status dan pemindahan pemilikan tanah adalah terletak di bawah bidang kuasa kerajaan negeri Selangor.

Other than the RM130 million payment to Awan Megah Sdn Bhd, owned by Selangor Wanita Umno chief Raja Ropiaah Raja Abdullah, Boustead Holdings Sdn Bhd has more goodies for the company that it did not reveal in its Bursa Malaysia listing, revealed PKR.

“This is 'durian runtuh (bonus)' for Raja Ropiaah... After reading this I wish I was her,” said party director of strategy Rafizi Ramliz.


NONESpeaking at a press conference at party headquarters in Petaling Jaya today, Rafizi (left) revealed that he found this out after given access to two agreements, one a land development deal between Raja Ropiaah’s Awan Megah, Boustead’s wholly-owned subsidiary Bakti Wira Sdn Bhd and Astacanggih Sdn Bhd owned by controversial carpet trader Deepak Jaikishan; and the second an agreement to buy out Astacanggih from Deepak.

Rafizi saw the documents this morning at Boustead headquarters in Kuala Lumpur in his capacity as a minority shareholder.


The extra perks accorded to Awan Megah in the agreements described by Rafizi are:

1) A RM15 million contract given to Awan Megah by the Defence Ministry in June last year despite its seven-year failure to deliver on the construction of the National Defence Institute or Puspahanas;

2) Awan Megah to retain 23.2 acres of the Shah Alam land worth millions of ringgit;

3) Boustead advanced RM4 million to Raja Ropiaah to buy a 20 percent stake in Astacanggih;

4) The agreement specified that Bakti Wira will undertake to pay all debts incurred by Awan Megah to GuppyUnip Sdn Bhd so that GuppyUnip will agree to terminate its joint-venture agreement with Awan Megah.


All these, said Rafizi, are being given scot-free to the company owned by the Selangor Wanita Umno chief, as if it were manna from the sky or ‘durian runtuh’.

Asked if the documents specify any reciprocation of like value on Awan Megah’s behalf, Rafizi said that he does not see that in the documentation, adding further that unlike most standard contract involving land transfers, it was strange that this deal does not require neither Awan Megah nor Astacanggih to ensure the over 200 acres of land be transferred to Bakti Wira which is footing the bill for all of the payments in the deal.

Rafizi added that he will be bringing his findings, which covered over 12 pages of notes he took down while perusing the contracts, to the PKR political bureau meeting this evening to consult with the party leadership and representatives from the Pakatan-controlled Selangor government and decide what to follow up on.


Confident he can mount legal challenge

Labelling his findings “juicy” and “scandalous” Rafizi said that he is confident he can mount a legal challenge to declare the contract null and void as the current situation around the deal may have violated conditions set in the contract.

He said some of these included areas under the purview of the Selangor government pertaining to land status and transfer of ownership.

The tripartite land deal first took the limelight when Deepak became miffed with Raja Ropiaah for allegedly “cheating” him and came to the media to start his one-man crusade against the Selangor Wanita Umno chief and the family of Prime Minister Mohd Najib Abdul Razak, whom he has linked to various allegedly corrupt deals and a cover up linked to the deal of Mongolian national Altantuya Shaariibuu.

The deal began to catch criticisms from another front after it was alleged by PKR that funds from contributions of veterans and serving military servicemen are being used by Boustead to bail out and give a windfall to Raja Ropiaah and pay off Deepak.

PKR's Rafizi vets Boustead land purchase...

Having acquired shares in Boustead Holdings Bhd, PKR director of strategy Rafizi Ramli is now at Menara Boustead, going through details of the company's controversial acquisition of the 81-hectare parcel of land in Bukit Raja through a company owned by carpet dealer Deepak Jaikishian.

NONERafizi (left) said his move was to try to find out whether Boustead practised due diligence in the acquisition.

If the acquisition was not done in a proper way, Rafizi said, PKR would study its next course of action, including the possibility of initiating court action.

"For me, I think the purchase was done without basis, since Boustead had no interest in the land. This is the first company share that I have purchased, and it took some time as I had to open a central depository account to acquire it," he said before going into the building to begin his search.

"After acquiring shares, the company allows the shareholder three months to conduct a search and this is the reason I am here today, after the Chinese New Year holidays," he said.


At least two hours on documents

Rafizi said he would spend at least two hours looking at the documents.

If there were questions about the land purchase, he said, interested parties or shareholders could appeal to the Selangor government to use its powers to try and frustrate Boustead Holdings and Lembaga Tabung Angkatan Tentera (LTAT), which owns the majority state in Boustead, from completing the purchase.

Deepak was reported to have been forced to withdraw his suit against Selangor Wanita Umno leader Raja Ropiaah Raja Abdullah after the acquisition of his company, Astacanggih Sdn Bhd.

Bursa Malaysia announced in December that Boustead Holdings, the investment vehicle of LTAT, was acquiring an 80 percent stake in Astacanggih, which is partly owned by Deepak.

Boustead Holdings purchased the stake through its wholly-owned subsidiary, Bakti Wira Development Sdn Bhd, and said it would also acquire 80.94 hectares of freehold land in Klang from Awan Megah (M) Sdn Bhd for RM130 million.-malaysiakini


 
Documents show Deepak deal includes gag order...

Boustead Holdings Bhd's acquisition of Deepak Jaikishan's Astacanggih Sdn Bhd included a clause prohibiting Deepak from speaking about the deal without Boustead's permission.

This was divulged by PKR strategy director Rafizi Ramli today, after he scrutinised several of Boustead's documents that he viewed as a minority shareholder in the company.

"The agreement specifies that Deepak cannot make any statement without the (permission) of Boustead, which verifies my claim that the deal was to shut Deepak up," Rafizi told a press conference.


Malaysiakini is attempting to reach Boustead for its comments.

Ready to go to court 

Rafizi also today declared he has no intention of answering the letter of demand sent to him by Defence Minister Ahmad Zahid Hamidi over his allegations on the Boustead deal.

Indeed he is challenging the minister to take him to court so that he can let loose the arsenal of information he has pooled with regards to the deal.



He believes it will lead to an indictment of Zahid for negligence at least, and at most, for failing to look after funds for military veterans and servicemen, which are currently heavily invested in Boustead via fund manager LTAT.

"I am more than ready and quite eager to meet him in court. He should ask his lawyer to quickly file a summons against me," quipped Rafizi.

Rafizi had alleged that Zahid has failed to watch over the LTAT funds invested in Boustead by allowing the deal to go through. The defense ministry through LTAT controls 60 percent of Boustead with numerous seats on the board.-malaysiakini
